Finance Manager & Corporate Secretary – Holding Company
We are seeking an experienced and highly organized Finance Manager & Corporate Secretary to oversee the financial management, reporting, governance, and compliance functions of the Holding Company, Foundation and other assigned entities.
This role is responsible for group financial consolidations, treasury oversight, corporate governance, board administration, statutory compliance, insurance coordination, and audit management. The successful candidate will work closely with the COO, CEO, property Finance Managers, General Managers, Board members, and external advisors to ensure strong financial management and governance across the Group.
This position plays a critical role in ensuring accurate financial reporting, effective treasury oversight, strong governance practices, and compliance with regulatory and corporate obligations.
Key Responsibilities
Financial Management & Reporting
• Maintain accounting records and prepare monthly, quarterly, and annual financial statements for the Holding Company, Foundation and other assigned entities.
• Coordinate annual audits and ensure timely resolution of audit matters.
• Manage intercompany transactions, reconciliations, and administrative cost oversight.
• Prepare budgets, forecasts, and financial reports for management.
• Provide Financial & Analytical support to the CEO.
Group Consolidations
• Consolidate financial statements across all group entities.
• Prepare consolidated management reports for senior leadership and the Board.
• Analyze financial results, identify trends, and ensure consistent accounting policies across the Group.
Treasury & Debt Management
• Monitor group cash flow and liquidity and maintain visibility of cash positions.
• Track loan obligations, covenants, and debt schedules.
• Support financing initiatives and working capital management.
Corporate Governance & Secretarial Functions
• Serve as Corporate Secretary for the Holding Company and subsidiaries.
• Coordinate Board and Shareholder meetings, including agendas, board packs, and minutes.
• Maintain statutory records and ensure timely regulatory filings.
Insurance & Risk Management
• Coordinate annual insurance renewals for all group entities.
• Liaise with insurance brokers and property teams to ensure adequate coverage and manage claims where necessary.
Systems & Process Improvements
• Maintain and enhance financial reporting and consolidation systems.
• Implement internal controls, procedures, and governance documentation to improve efficiency and reporting quality.
Qualifications & Experience
• Professional accounting qualification (ACCA, CPA, CIMA, or equivalent).
• Minimum 5–7 years of progressive experience in accounting, finance, or governance roles.
• Proven experience in group financial consolidations and multi-entity reporting.
• Experience coordinating audits and corporate governance/secretarial functions.
• Strong knowledge of IFRS or GAAP and intercompany accounting principles.
• Advanced proficiency in Microsoft Excel and accounting systems.
• Strong analytical, organizational, and communication skills with a high level of integrity and confidentiality.
